Terms & Conditions for Membership at The King’s Talent

These Terms & Conditions (“Terms”) govern your application, acceptance, and use of membership and related services offered by The King’s Talent (“we,” “us,” “our,” or “The King’s Talent”). By submitting an application or selecting a membership tier, you (“you,” “your,” “Member”) agree to these Terms. If you do not agree with any part of these Terms, do not apply or accept membership.

1. Eligibility & Application Review

  1. Eligibility. To apply, you must be at least 18 years old (or the legal age of majority in your jurisdiction) and able to enter into binding contracts.
  2. Application Process. All prospective members must complete an application form. We review each application to ensure alignment with our mission, values, and standards.
  3. Acceptance. Acceptance is at our sole discretion. If your application is declined, you will be notified, and any fees you may have paid will be refunded (if applicable) within a reasonable time.
  4. No Guarantee of Acceptance. Submission of an application does not guarantee acceptance or membership.

2. Membership Tiers, Fees & Payment

  1. Tiers & Benefits. We offer three membership tiers (Tier 1, Tier 2, Tier 3), each with a defined set of benefits (e.g. number of book listings, warehousing allowance, Facebook ads, promotional features).
  2. Fees.
     a. Tier 1: US$295 per year
     b. Tier 2: US$595 per year
     c. Tier 3: US$995 per year
     (These fees are subject to change; current fees will be shown at the time of enrollment.)
  3. Payment. Payments may be made via the accepted payment methods (e.g. credit card, PayPal). Payment must be made in full before membership benefits commence.
  4. Additional Charges. Some benefits (e.g. additional book listings beyond the included allowance) may incur extra charges at rates published at the time of signup.
  5. Non‑Refundability. Membership fees are non‑refundable once membership is activated, except where required by law or as otherwise stated herein.

3. Activation, Duration & Renewal

  1. Activation. After acceptance of your application and receipt of payment, we will activate your membership and notify you via email.
  2. Term. Membership is valid for one year from the date of activation (the “Term”).
  3. Renewal. Membership does not automatically renew. Before the end of your Term, we may invite you to renew under prevailing pricing and terms. You must explicitly accept renewal and submit payment.
  4. Termination or Non-Renewal. If you do not renew, your membership and access to benefits will cease at the end of the Term. We may also terminate your membership earlier under Section 5 below.

4. Member Obligations & Conduct

  1. Compliance with Policies. You agree to abide by all policies, guidelines, and rules we publish (e.g. content standards, listing rules).
  2. Use of Benefits. You may only use benefits (e.g. listings, ads, warehousing) in accordance with provided terms and reasonable guidelines.
  3. Accuracy. You must provide truthful, accurate, and up‑to‑date information in your application and any required materials (e.g. book metadata, promotional copy).
  4. Intellectual Property. You warrant that any content, images, text, or media you submit do not infringe third‑party rights and that you have all necessary rights or permissions.
  5. No Misuse. You must not use the membership or benefits for fraudulent, deceptive, harassing, defamatory, obscene, or otherwise unlawful purposes.
  6. Suspension or Removal of Content. We reserve the right to suspend or remove any content, listing, advertisement, or participation that violates these Terms or our policies.

5. Termination, Suspension & Refunds

  1. Termination by You. You may request termination of your membership at any time by notifying us in writing. Termination will become effective at the end of the then-current Term; we are not obligated to refund unused portions of the membership fee.
  2. Termination by Us. We may terminate or suspend your membership (immediately or with notice) if you:
     a. breach any part of these Terms;
     b. submit false or misleading material;
     c. engage in misconduct or harmful behavior;
     d. fail to pay additional charges when due; or
     e. become insolvent or enter bankruptcy or similar proceedings.
  3. Effect of Termination. Upon termination or suspension, you lose access to all membership benefits, and you must immediately cease use of any proprietary materials or resources provided to you.
  4. Refund upon Termination. Except as required by law, termination by us for cause does not entitle you to a refund of any portion of the membership fee.

6. Disclaimers & Limitations of Liability

  1. No Guarantee of Results. We provide promotional and listing services but do not guarantee book sales, audience reach, or any particular outcomes.
  2. “As-Is” Basis. Our services, resources, and any content are provided “as is” and “as available.” We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of fitness for a particular purpose, merchantability, title, non-infringement, accuracy, or reliability.
  3. Limitation of Liability. To the fullest extent permitted by law, The King’s Talent’s total aggregate liability to you for any claims under these Terms shall not exceed the amount of membership fees you have paid in the twelve (12) months preceding the event giving rise to liability. In no event shall we be liable for indirect, incidental, special, punitive, or consequential damages (including lost profits or business interruption), even if advised of the possibility of such damages.
  4. Indemnification. You agree to defend, indemnify, and hold harmless The King’s Talent, its officers, directors, employees, agents, affiliates, and representatives from and against all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising from or related to your violation of these Terms, misuse of services, or infringement of any rights of third parties.

7. Intellectual Property & License

  1. Our IP. All trademarks, trade names, logos, domain names, and other materials used by The King’s Talent in connection with the membership program remain our property or the property of our licensors.
  2. License to Use Materials. You are granted a limited, nonexclusive, nontransferable license to use materials, tools, or content provided to you in connection with your membership, solely for your personal author/marketing use and in accordance with these Terms.
  3. User Content License. By submitting content (e.g. book descriptions, images), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, publish, display, distribute, and promote that content in connection with our services, including marketing and advertising.

8. Privacy & Data Use

Your use of membership services is also governed by our Privacy Policy, which explains how we collect, use, store, and share personal information. You acknowledge and agree that we may collect and process your data as described in that policy.

9. Changes to Terms & Services

  1. Modifications. We may modify or update these Terms from time to time. If changes are material, we will provide notice (e.g. via email or on our website).
  2. Continued Use. Your continued membership or use of services after notification constitutes acceptance of the modified Terms.
  3. Service Changes. We reserve the right to add, modify, suspend, or discontinue any membership benefits or services (in whole or in part) at any time, with or without notice.

10. General Provisions

  1. Governing Law & Jurisdiction. These Terms are governed by and construed under the laws of [Lynchburg VA, USA], without regard to principles of conflict of laws. You agree to submit to the exclusive jurisdiction of the state or federal courts located in [County/Region] for any dispute.
  2. Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be severed or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  3. Waiver. No waiver of any breach or right under these Terms is effective unless in writing and signed by both parties. The waiver of one breach does not constitute waiver of any subsequent breach.
  4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms (or any rights or obligations) at our discretion.
  5. Entire Agreement. These Terms (together with any application materials, policies, and the Privacy Policy) constitute the entire agreement between you and The King’s Talent regarding membership, superseding all prior or contemporaneous communications, understandings, and agreements, whether written or oral.
